Terms of Service

Welcome to Funolio ("Service"), operated by Funolio LLC ("Company," "we," "us," or "our"). By accessing or using Funolio at www.funolio.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Description of Service

Funolio is a SaaS platform for storing, searching, organizing, and sharing AI conversations. Features include conversation storage, semantic search, action items, decisions, memory, collections, teams, projects, and an LLM proxy chat interface.

2. Account Registration

To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your credentials secure. You are responsible for all activity under your account.

3. Subscriptions & Billing

Funolio offers Personal ($1.99/mo) and Pro ($9.99/mo) subscription tiers. Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you authorize recurring charges to your payment method.

  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Refunds are provided at our sole discretion.
  • We reserve the right to change pricing with 30 days' notice.

4. User Content & Ownership

You retain full ownership of all conversations, data, and content you upload or store on Funolio ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, display, reproduce, and transmit your User Content solely for the purpose of operating and providing the Service to you.

We do not claim ownership of your AI conversations. You may export or delete your data at any time.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload content that infringes the intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or its systems
  • Distribute malware, spam, or harmful code through the Service
  • Use the Service to harass, abuse, or harm others
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means to scrape or access the Service beyond the provided API
  • Resell or redistribute the Service without our written consent

6. Data Storage & AI Conversation Handling

User data is stored on Google Cloud infrastructure in the United States (us-central1 region). AI conversations you store on Funolio are treated as your private data. We do not use your conversations to train AI models. Conversations shared publicly or within teams are accessible only as configured by you.

7. DMCA & Copyright

We respect intellectual property rights. If you believe content on Funolio infringes your copyright, please send a DMCA takedown notice to hello@funolio.com with: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.

8. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data prior to termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADXR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Funolio LLC, its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new effective date. Continued use of the Service after changes constitutes acceptance.
